# Outofplace forms Portivo Inc., its first subsidiary

Outofplace has formed Portivo Inc. and is its sole owner. Portivo, the first product we built for ourselves, becomes a company of its own.

## We don’t stop at the project. We build companies.

We run every product we make as if it were a company of our own. Portivo is the first to become one.

**What changes.** Portivo Inc. is a Delaware corporation, wholly owned by Outofplace Poland sp. z o.o. It holds every right to Portivo: the software, the brand and portivo.eu. Outofplace becomes the parent of a group.

**What it means for our clients.** Everything we learn building our own products goes into the work we do with our clients. The same team and the same standard, proven on a business where every risk is ours.

## No shortcuts. Not even where nobody looks.

Portivo began in July 2025 with one question: why does a charter company still run on spreadsheets, bank transfers and a clipboard at the pier? We answered it the way we answer everything: the work first, the screens after.

**The database says no.** One yacht can’t be booked twice for the same days. The database itself refuses the second booking, whatever the screen, the app or a busy Saturday at the marina says.

**Every złoty balances.** Payments, deposits and commissions run through a double-entry ledger. In every record the debits equal the credits, or the record is never written. Nothing is rounded by hand.

**Invoices go to KSeF.** Invoices, corrections and the monthly pack for the accountant come from the same records, and every invoice goes straight to KSeF, the national invoicing system.

**Drawn before it’s built.** Every screen is designed first and then built to the drawing, down to the pixel: in the browser, on the tablet and on the phone, in Polish and in English alike.

## Built to redefine the boating industry.

One system for running a charter company: fleet, bookings, payments, contracts, handovers and invoices, with a booking site of its own for every operator.

**A booking site of its own.** The guest picks the dates, pays the deposit by BLIK or card and gets the confirmation. The booking is already in the calendar.

**Identity check.** The guest scans their ID and takes a selfie on their own phone. The face is matched to the document before anyone boards.

**Portivo POS.** A register at the counter: card on the reader, BLIK or a payment link. The payment lands on the booking and the receipt goes to the guest.

**The booking, start to finish.** Contract signed online, identity confirmed, balance collected on its date, final invoice sent to KSeF. Every step ticks itself off.

**Handover protocol.** At check-in the tablet sets every side of the boat against the photos from the last check-out and flags what has changed.

**Portivo Operator.** Bookings, the calendar, payments, the register and the day’s activity, all in the operator’s pocket, wherever the day goes.
